Preamble & Agreement to Terms

Welcome to Dinger Derby ("Dinger Derby," "we," "us," or "our"). Dinger Derby operates the website located at dingerderby.io and any related mobile applications, APIs, or services (collectively, the "Platform"). The Platform provides baseball statistical data, analytics, historical records, projections, and related informational content (collectively, "Content") to registered users and visitors.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Dinger Derby governing your access to and use of the Platform and all Content available through it. By accessing or using the Platform in any way — including browsing, registering for an account, subscribing to a paid plan, or downloading any Content — you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, you must immediately discontinue use of the Platform and may not access any portion of it.

PLEASE READ THESE TERMS CAREFULLY. They include important provisions regarding your rights, our limitations of liability, dispute resolution, and the nature of the informational services we provide. These Terms also include a mandatory arbitration clause and class action waiver in Section 17.

Section 1 — Definitions

For purposes of these Terms, the following definitions apply:

"Content" means all baseball statistics, analytics, projections, data visualizations, written analysis, commentary, and any other information made available through the Platform, whether free or subscription-based.

"Platform" means the Dinger Derby website at dingerderby.io, any associated subdomains, mobile applications, APIs, and related digital services.

"Subscription" means a paid membership plan that grants a User access to premium Content, features, or data tiers offered by Dinger Derby.

"User" means any individual or entity that accesses or uses the Platform, whether registered or unregistered.

"Third-Party Services" means any external websites, platforms, sportsbooks, betting operators, fantasy sports operators, data providers, or other services linked to or from the Platform.

"Prohibited Use" means any use of the Platform or Content that violates these Terms, applicable law, or the rights of Dinger Derby or third parties.

"Pick" means a specific, clearly identified statistical recommendation or rated play generated by Dinger Derby. Picks are informational in nature and do not constitute wagering, gambling, or financial advice. Picks may be delivered via email to eligible subscribers ("Subscriber Picks") or published on the Platform as Free Picks (defined below). The volume, format, and delivery method of Picks varies depending on whether the Pick is a Subscriber Pick or a Free Pick. Subscriber Picks are delivered exclusively by email and are not archived or made available on the Platform. The volume of Subscriber Picks available varies by Subscription tier.

"Free Pick" means a Pick that Dinger Derby, in its sole discretion, makes available on the Platform at no cost and without requiring a Subscription. Free Picks are provided as a promotional or informational courtesy and do not create a Subscription, account relationship, or entitlement to continued access. The availability, frequency, volume, format, and duration of Free Picks may be modified, reduced, or discontinued by Dinger Derby at any time and for any reason without prior notice or liability. Free Picks are subject to the same disclaimers, limitations of liability, and informational-purpose-only provisions that apply to all Content and Picks under these Terms.

"Billing Cycle" means a recurring monthly period that begins on the date of the subscriber's initial purchase and renews on the same date each following month (e.g., a subscription purchased on May 12 renews on June 12, July 12, and so on). All monthly Subscription billing cycles are based on the subscriber's purchase date, not on calendar months or revolving 30-day periods.

"Early Bird Pricing" means the promotional subscription rate offered by Dinger Derby for qualifying Subscription packages purchased on or before May 15, 2026 at 11:59 PM Eastern Time, subject to the additional terms in Section 6.6.

"Season Guarantee" means the conditional gift card refund program offered by Dinger Derby to eligible full-season subscribers, governed exclusively by the separate Season Guarantee Terms & Conditions, incorporated into these Terms by reference.

Section 2 — Eligibility & Age Requirement

2.1 Minimum Age

The Platform is intended solely for individuals who are 21 years of age or older, or such higher age as may be required by applicable law in your jurisdiction. By accessing or using the Platform, you represent and warrant that you are at least 21 years of age. If you are under the age of 21, you are not permitted to access or use the Platform under any circumstances.

2.2 Legal Capacity

By agreeing to these Terms, you represent that you have the legal capacity to enter into a binding contract in your jurisdiction. If you are using the Platform on behalf of an organization or entity, you represent that you have the authority to bind that organization to these Terms.

2.3 Geographic Restrictions

The Platform is operated from the State of Georgia, United States. Dinger Derby makes no representation that the Platform is appropriate or lawful for use in any jurisdiction outside the United States. Access from jurisdictions where the Platform's services are prohibited is done at the User's own risk and is not condoned by Dinger Derby.

Section 3 — Account Registration & Security

3.1 Account Creation

Certain features of the Platform require registration of a user account. To register, you must provide accurate, complete, and current information including your name, email address, and any other information requested during registration. You agree to promptly update your account information to keep it accurate and current. By registering, you expressly consent to receive transactional emails from Dinger Derby at the email address you provide, including but not limited to account confirmations, subscription receipts, renewal notices, and Pick delivery emails. Transactional emails related to your Subscription — including Pick emails — are a core component of the service and cannot be opted out of while your Subscription is active. By subscribing to a paid Subscription, you further consent to receive service-related communications by email. It is your responsibility to ensure your registered email address is accurate, active, and capable of receiving emails from Dinger Derby. You can update your email address at any time through your account settings.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify Dinger Derby immediately at hello@dingerderby.io if you suspect any unauthorized use of your account or any other breach of security. Dinger Derby will not be liable for any loss or damage arising from your failure to comply with these security obligations.

3.3 One Account Per User

Each User may maintain only one account. Creating multiple accounts to circumvent access restrictions, subscription limitations, or suspensions is a violation of these Terms and may result in termination of all associated accounts.

3.4 Account Termination by User

You may terminate your account at any time by contacting us at hello@dingerderby.io. Termination of your account does not entitle you to a refund except as described in Section 6 (Subscriptions & Payments) of these Terms.

Section 4 — Informational Purpose Only & Disclaimer

4.1 Nature of Content

All Content provided through the Platform is made available for informational and entertainment purposes only. Nothing on the Platform constitutes, and nothing should be construed as, financial advice, investment advice, gambling advice, wagering recommendations, or a solicitation to engage in any form of wagering or gambling activity.

Dinger Derby makes no representation that any Content is suitable for use in connection with any betting, wagering, gambling, daily fantasy sports, or similar activity. Past statistical performance of any player, team, or league does not guarantee, predict, or imply future results of any kind.

4.2 No Guarantee of Accuracy

While Dinger Derby strives to provide accurate, timely, and complete data, we make no warranties or representations — express or implied — regarding the accuracy, completeness, reliability, timeliness, or fitness for any particular purpose of any Content. Baseball statistics and related data are subject to official revision, correction, and amendment.

Dinger Derby shall not be liable for any errors, omissions, delays, or inaccuracies in the Content, or for any losses or damages arising from reliance on the Content.

4.3 No Facilitation of Gambling

Dinger Derby is not a gambling operator, sportsbook, betting exchange, daily fantasy sports operator, or wagering intermediary. Dinger Derby does not:

• Accept wagers or bets of any kind;
• Hold user funds for wagering purposes;
• Offer odds, lines, or spreads;
• Act as an intermediary between users and any gambling or wagering platform;
• Operate under any gambling license or gaming regulatory authorization.

The availability of statistical data and analytics on the Platform does not constitute endorsement, promotion, or encouragement of gambling or wagering of any nature.

Section 5 — User Responsibilities & Permitted Use

5.1 Permitted Use

Dinger Derby grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its Content solely for your personal, non-commercial, informational purposes, subject to these Terms.

5.2 Prohibited Uses

You agree that you will not use the Platform or its Content to:

• Violate any applicable federal, state, local, or international law or regulation, including without limitation any laws governing gambling, wagering, or sports betting;
• Operate, develop, or contribute to any commercial betting service, wagering algorithm, sports prediction product, or automated betting system using Content from the Platform without express prior written authorization from Dinger Derby;
• Scrape, crawl, copy, reproduce, distribute, republish, download, or commercially exploit any Content without prior written authorization;
• Circumvent, disable, or interfere with any security features, access controls, geographic restrictions, or age-verification systems on the Platform;
• Misrepresent the source, accuracy, or nature of any Content to any third party;
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
• Introduce any virus, malware, or other harmful code to the Platform;
• Engage in any activity that disrupts, damages, or interferes with the Platform's operation or the experience of other Users;
• Use the Platform for any purpose that is unlawful, fraudulent, or harmful.

5.3 User Assumption of Risk

Any decision to engage in wagering, gambling, daily fantasy sports, or any other activity based in whole or in part on Content obtained from the Platform is made solely at your own risk and discretion. Dinger Derby is not responsible for any losses — financial or otherwise — incurred as a result of any such decisions. You assume full responsibility for your use of the Platform and its Content.

Section 6 — Subscriptions & Payments

6.1 Subscription Plans

Dinger Derby may offer free and paid subscription tiers. Paid Subscriptions grant access to premium Content, enhanced analytics, and additional features as described at the time of purchase. Subscription features and pricing are subject to change with reasonable notice to existing subscribers.

6.2 Billing & Renewal

Paid Subscriptions are billed on a recurring basis. Monthly Subscriptions renew on the same date each month based on the subscriber's original purchase date, as defined in Section 1. By subscribing to any paid Subscription, you expressly authorize Dinger Derby to automatically charge the credit card or other payment method on file at the applicable subscription rate at the start of each billing cycle, without any additional authorization required from you. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING CYCLE UNLESS YOU CANCEL PRIOR TO THE RENEWAL DATE IN ACCORDANCE WITH SECTION 6.3. For annual Subscriptions, Dinger Derby will provide written or electronic notification of the upcoming automatic renewal no less than 30 days and no more than 60 days before the cancellation deadline, as required by Georgia law (O.C.G.A. § 13-12-3). That notice will clearly disclose that the Subscription will automatically renew unless cancelled, and will include instructions for how to cancel. It is your responsibility to maintain accurate and current payment information in your account. If a charge is declined, Dinger Derby may retry the payment and may suspend or terminate your access to the Platform and Picks until payment is successfully processed.

6.3 Cancellation

You may cancel your Subscription at any time through your account settings or by contacting hello@dingerderby.io. Cancellation takes effect at the end of the current billing period. You will continue to have access to your Subscription benefits through the end of the paid period.

6.4 Refund Policy

All Subscription fees are non-refundable. Dinger Derby does not offer refunds, credits, or prorations of any kind, including but not limited to: partial subscription periods; unused days or weeks within a billing cycle; change-of-mind cancellations; failure to use the Platform or access Picks; non-receipt of Pick emails due to spam filtering or delivery failure; dissatisfaction with Content; or early cancellation of any Subscription. No partial refunds will be issued under any circumstances, except where expressly required by applicable law or as provided exclusively under the Season Guarantee Terms & Conditions (which govern the Season Guarantee program only and do not modify this refund policy in any other respect). If you believe you have been charged in error, you must contact hello@dingerderby.io within thirty (30) days of the charge date to dispute it.

6.5 Taxes

You are responsible for all applicable taxes arising from your Subscription purchase. Where required by law, Dinger Derby may collect and remit applicable sales or use taxes.

6.6 Early Bird Pricing

Dinger Derby offers Early Bird Pricing on qualifying Subscription packages for a limited time only. Early Bird Pricing is available exclusively for purchases completed on or before May 15, 2026 at 11:59 PM Eastern Time. After this deadline, standard pricing applies and Early Bird rates will no longer be available. Early Bird Pricing, once locked in at the time of purchase, applies to the subscriber's initial subscription period. Renewal rates for Early Bird subscribers will be disclosed in advance of the first renewal. Dinger Derby reserves the right to modify or discontinue Early Bird Pricing at any time prior to the deadline. Early Bird Pricing is non-transferable and may not be combined with any other promotional offer unless expressly stated by Dinger Derby.

6.7 Pick Delivery & Email Disclaimer

Picks are distributed to eligible subscribers exclusively via email to the registered email address on file for the subscriber's account. Picks are not archived or accessible on the Platform; email is the sole delivery method. It is the subscriber's sole responsibility to maintain an accurate, active, and accessible registered email address. Dinger Derby makes no guarantee, warranty, or representation that any Pick email will be successfully delivered, received, opened, or accessible by the subscriber. Pick emails may be delayed, filtered, blocked, or undelivered due to factors outside of Dinger Derby's control, including but not limited to: the subscriber's email provider, spam or junk mail filters, inbox capacity, network interruptions, or third-party email infrastructure issues. Dinger Derby shall have no liability whatsoever for any Pick email that is not received, delayed, filtered to a spam or junk folder, or otherwise inaccessible to the subscriber, regardless of the cause. Subscribers are strongly encouraged to add Dinger Derby's sending email address to their contacts or approved-sender list to improve deliverability. Failure to receive a Pick email for any reason does not constitute grounds for a refund, credit, or any other remedy.

6.8 Same-Day Purchase & Pick Eligibility

Picks for a given day are distributed prior to the scheduled start time of the applicable MLB game(s). If a subscriber purchases a Subscription on a day on which one or more MLB games have already commenced at the time of account activation, that subscriber may not receive the Pick(s) associated with those game(s) for that day. Dinger Derby will not provide refunds, credits, or make-good Picks for any Pick that was distributed prior to the subscriber's account activation time on the date of purchase. By completing a purchase, subscribers acknowledge and accept that same-day purchases made after any MLB game start time may result in one or more missed Picks for that day, and that this limitation does not entitle them to any remedy.

6.9 Season Pass Purchase Deadline

Season Pass packages (Pro Season Pass and All-Star Season Pass) must be purchased on or before May 31, 2026 at 11:59 PM Eastern Time. After this deadline, Season Pass packages will no longer be available for purchase and only monthly Subscription options will remain. Dinger Derby reserves the right to modify or extend this deadline at its sole discretion.

6.10 Season Guarantee

Certain full-season Subscription packages are eligible for the Dinger Derby Season Guarantee, which offers a conditional gift card refund if Dinger Derby's tracked picks do not achieve a net positive unit return over the defined Guarantee Period. The Season Guarantee is governed exclusively by the Season Guarantee Terms & Conditions at dingerderby.io/guarantee, incorporated herein by reference. Where any conflict exists between these Terms and the Season Guarantee Terms & Conditions on matters relating to the Season Guarantee, the Season Guarantee Terms & Conditions control. Refunds under the Season Guarantee are issued exclusively as gift cards via Tremendous — no cash or original-payment-method refunds are provided. The Season Guarantee does not modify any other provision of these Terms, including the refund policy in Section 6.4 or the limitation of liability in Section 12, except solely to the extent of an approved Season Guarantee gift card refund.

6.11 Free Picks

Dinger Derby may, from time to time and in its sole discretion, publish Free Picks on the Platform. Free Picks are available to all Users without requiring a Subscription or account registration. Free Picks are provided on a purely discretionary basis and do not constitute a Subscription, trial, or guarantee of any ongoing service.

Dinger Derby reserves the right to modify, limit, or discontinue the availability of Free Picks at any time, including but not limited to changing the frequency, volume, format, or delivery schedule of Free Picks, without prior notice and without liability to any User. No User shall have any claim, right, or entitlement to the continued availability of Free Picks based on prior publication or any established pattern of availability.

Free Picks are subject to all disclaimers, limitations of liability, and informational-purpose-only provisions set forth in these Terms, including but not limited to Sections 4, 5.3, 11, and 12. Access to Free Picks does not exempt any User from any provision of these Terms.

Section 7 — Jurisdictional Compliance

7.1 User Responsibility

Sports betting, daily fantasy sports, and related activities are regulated differently across states, territories, and countries. Some jurisdictions prohibit or restrict access to sports betting-related services or data entirely. It is your sole responsibility to know and comply with all laws, regulations, and restrictions applicable to you in your jurisdiction before accessing or using the Platform or any Content for any wagering or gambling-adjacent purpose.

7.2 No Representation of Lawfulness

Dinger Derby makes no representation that the Platform or its Content is appropriate, available, or lawful for use in any specific jurisdiction outside of the State of Georgia. Access to the Platform from a jurisdiction where such use is prohibited or restricted is done entirely at your own risk.

7.3 Georgia Law

The Platform is operated in compliance with the laws of the State of Georgia. Georgia law governs the availability and permissibility of the Platform's services as operated by Dinger Derby. Dinger Derby does not hold any gambling license and does not engage in activities requiring one under Georgia law or federal law.

Section 8 — Intellectual Property

8.1 Ownership

All Content, features, design elements, software, trademarks, service marks, logos, and other intellectual property on the Platform are owned by or licensed to Dinger Derby and are protected by applicable intellectual property laws. The Dinger Derby name, logo, and brand elements are proprietary marks of Dinger Derby.

8.2 Limited License

Subject to these Terms, Dinger Derby grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial, informational purposes. This license does not include any right to:

• Reproduce, distribute, publicly display, or create derivative works from any Content;
• Use any Content for commercial purposes without express written authorization;
• Remove or alter any copyright, trademark, or other proprietary notices from the Platform or Content.

8.3 Data Licensing & Attribution

Statistical data and related Content displayed on the Platform may be sourced from or based upon third-party data providers, official league sources, or publicly available datasets. Where required by applicable data licensing agreements, attribution to such sources is provided.

8.4 User Feedback

If you submit feedback, suggestions, or ideas regarding the Platform, you grant Dinger Derby a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.

Section 9 — Privacy Policy

Your use of the Platform is also governed by Dinger Derby's Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and share information about you when you use the Platform. By using the Platform, you consent to the data practices described in the Privacy Policy.

The Privacy Policy is available at dingerderby.io/privacy.

Section 10 — Third-Party Links, Services & Affiliates

10.1 Third-Party Links

The Platform may contain links to third-party websites, including sportsbooks, betting platforms, fantasy sports operators, data providers, or other services. These links are provided for convenience only. Dinger Derby does not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party websites or services. Your use of any third-party website or service is governed by that party's terms and policies, not these Terms.

10.2 Affiliate Disclosures

Dinger Derby may receive compensation when you click on links to or register with certain third-party services. Such compensation does not influence the editorial independence of our Content or the integrity of our data.

10.3 No Endorsement of Gambling Operators

The presence of any link to a sportsbook, betting platform, or gambling operator on the Platform does not constitute an endorsement, recommendation, or promotion of gambling or wagering by Dinger Derby.

Section 11 — Disclaimer of Warranties

The Platform and all Content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Dinger Derby expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Dinger Derby does not warrant that:

• The Platform will be available, uninterrupted, timely, secure, or error-free at all times;
• Any Content will be accurate, complete, reliable, current, or free from errors or omissions;
• The Platform will meet your requirements or expectations;
• Defects or errors in the Platform will be corrected;
• The Platform is free of viruses or other harmful components.

Section 12 — Limitation of Liability

To the maximum extent permitted by applicable law, Dinger Derby, its owners, officers, directors, employees, agents, licensors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, wagering losses, or other intangible losses, arising from or in connection with:

• Your access to or use of, or inability to access or use, the Platform or any Content;
• Any errors, omissions, inaccuracies, or delays in the Content;
• Any wagering, gambling, daily fantasy sports, or financial decisions made in reliance upon Content from the Platform;
• Unauthorized access to or alteration of your account or data;
• Any conduct or content of any third party on or linked from the Platform;
• Any other matter relating to the Platform or these Terms.

In no event shall Dinger Derby's total cumulative liability to you for any claims arising from or related to these Terms or the Platform exceed the greater of (a) the total amount paid by you to Dinger Derby in the twelve (12) months preceding the claim, or (b) fifty dollars ($50.00).

Section 13 — Indemnification

You agree to defend, indemnify, and hold harmless Dinger Derby, its owners, officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Platform or any Content in violation of these Terms;
• Your violation of any applicable law or regulation, including any laws governing gambling or wagering;
• Your infringement of any intellectual property or other rights of any third party;
• Any wagering, gambling, or financial activity undertaken based on Content from the Platform;
• Your breach of any representation or warranty made in these Terms.

Section 14 — Responsible Gambling Notice

Dinger Derby is a baseball data and analytics service and does not facilitate, promote, or encourage gambling in any form. We recognize, however, that some of our users may engage in wagering activities independently, and we are committed to supporting responsible behavior.

Dinger Derby encourages all users to engage responsibly and within the bounds of applicable law.

Section 15 — Modifications to the Platform & Terms

15.1 Changes to the Platform

Dinger Derby reserves the right to modify, suspend, or discontinue the Platform or any portion of it at any time, with or without notice, and without liability to you. We may add or remove features, change subscription pricing (with advance notice to existing subscribers), or alter Content availability at our discretion.

15.2 Changes to These Terms

Dinger Derby reserves the right to modify or replace these Terms at any time. When we make material changes, we will provide notice through the Platform (such as a banner notification or email to your registered address) and will update the Effective Date at the top of this document. Your continued use of the Platform after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.

Section 16 — Termination

16.1 Termination by Dinger Derby

Dinger Derby reserves the right to suspend or terminate your access to the Platform, with or without notice, for any reason, including without limitation if we believe you have violated these Terms, engaged in any Prohibited Use, or if your use poses a risk to Dinger Derby or other users. Upon termination, your license to use the Platform immediately revokes.

16.2 Effect of Termination

Upon termination of your account for any reason, Sections 4, 5.3, 8, 11, 12, 13, 17, 18, and 19 of these Terms shall survive and continue in full force and effect. Termination does not entitle you to a refund except as provided in Section 6.4.

Section 17 — Dispute Resolution, Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

17.1 Informal Resolution

Before initiating any formal dispute, you agree to first contact Dinger Derby at hello@dingerderby.io and provide a written description of the dispute, the relief sought, and your contact information. We will attempt to resolve the dispute informally within 30 days of receipt. If the dispute is not resolved within that period, either party may proceed to arbitration as described below.

17.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or your use of any Content — including questions about the existence, validity, or scope of this arbitration agreement — shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as amended from time to time. The arbitration shall be conducted in English, in the State of Georgia, unless otherwise mutually agreed.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

17.3 Class Action Waiver

You and Dinger Derby each agree that disputes shall be resolved on an individual basis only. You waive your right to participate in a class action lawsuit, class-wide arbitration, or any other representative proceeding.

If this class action waiver is found unenforceable, then the entirety of Section 17.2 shall be null and void.

17.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights, unauthorized access to or use of the Platform, or other irreparable harm.

17.5 Governing Law
